Chancefy LLC – Terms and Conditions

Welcome to Chancefy, a member-based social advertising platform provided by Chancefy LLC (“we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your use of the Chancefy mobile application and platform (the “Platform”). By signing up and becoming a member, you agree to comply with these Terms. If you do not agree, you may not access or use the Platform.

1. Acceptance of Terms By accessing or using the Platform, you agree to be bound by these Terms, including our Privacy Policy. If you do not agree with these Terms, please do not use the Platform.

2. Eligibility You must be at least 18 years of age to become a member of Chancefy and use the Platform. By using the Platform, you confirm that you meet this eligibility requirement.

3. Member Responsibilities

• You are solely responsible for all activity conducted under your account. You must provide accurate, complete, and current information during registration.
• Members are prohibited from engaging in illegal, fraudulent, or otherwise inappropriate conduct on the Platform. Any illegal, obscene, or sexual transactions or content are strictly prohibited.
• You may not use the Platform to engage in unlawful activities or to violate any applicable local, state, national, or international laws.

4. Prohibited Content and Transactions

• The sale, promotion, or exchange of illegal goods, counterfeit items, prohibited services, and any content involving sexual or explicit material is strictly prohibited.
• Members who violate these restrictions will be subject to suspension or termination of their account without notice.

5. No Liability for Transactions Chancefy LLC is a platform that connects members to browse, post, and engage in advertising campaigns. However, Chancefy LLC is not responsible for the content or transactions between members, businesses, and campaigners.

• No Guarantees: We do not guarantee the accuracy, quality, or reliability of any advertisement, product, or service offered on the Platform.
• No Liability: Chancefy LLC is not liable for any issues, disputes, damages, or losses that arise from interactions or transactions between members or businesses on the Platform.
• Disputes: Any disputes arising from transactions between members and advertisers must be resolved directly between the parties involved. Chancefy LLC has no obligation to mediate or resolve such disputes.

6. Payment and Ticket Purchases

• Members may purchase tickets to participate in campaigns for products and services posted on the Platform.
• All payments made through the Platform are processed by third-party payment processors. We do not store your payment information.
• Chancefy LLC is not responsible for the failure or delay of payment processing.

7. Campaigns and Prizes

• Campaign advertisers are solely responsible for the content, fulfillment, and accuracy of their campaigns.
• Once a campaign reaches its ticket sales target, a winner is randomly selected via Chancefy’s automated system.
• Advertisers are responsible for delivering the prize or service to the winner. Chancefy LLC is not liable for undelivered or misrepresented products or services.

8. Charitable Contributions

• A portion of the revenue generated from Ad Tickets is donated to charities chosen by the campaign advertisers. While we facilitate these donations, Chancefy LLC is not responsible for the administration or use of funds by the charities.

9. Member Termination Chancefy LLC reserves the right to suspend or terminate your account if you violate these Terms or engage in prohibited conduct. We may also terminate your account if required by law or for reasons related to platform security.

10. Intellectual Property

• All content and materials on the Platform, including text, logos, images, and software, are the intellectual property of Chancefy LLC or its licensors.
• You may not use, modify, reproduce, or distribute any content from the Platform without prior written consent from Chancefy LLC.

11. Limitation of Liability To the fullest extent permitted by law, Chancefy LLC, its affiliates, officers, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use arising out of your access to or use of the Platform.

12. Disclaimer of Warranties The Platform is provided on an “as-is” and “as-available” basis. Chancefy LLC makes no warranties, expressed or implied, regarding the Platform’s functionality, content, or services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Indemnification You agree to indemnify and hold harmless Chancefy LLC, its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

• Your use of the Platform;
• Your violation of these Terms;
• Any transactions or interactions you have with other members or advertisers.

14. Privacy Policy Your use of the Platform is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.

15. Governing Law These Terms are governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.

16. Changes to the Terms Chancefy LLC reserves the right to update or modify these Terms at any time. We will notify you of any significant changes by posting the updated Terms on the Platform. Your continued use of the Platform after the changes take effect will constitute your acceptance of the revised Terms.
